Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Dsj Logistics Inc., operating as Delta Swift. By accessing or using our website and services, you agree to be bound by these terms. If you disagree with any part of these terms, you may not access our services.

Services Description

Delta Swift provides computer integrated systems design, technical consulting, and related professional services. The specific scope, deliverables, and terms of any project will be defined in separate service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use of our services
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Use our services to transmit any harmful code, viruses, or malicious software
• Impersonate or attempt to impersonate Delta Swift or any of our employees

Intellectual Property Rights

Our Property

The content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, and software, are owned by Delta Swift and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any content, data, or materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.

Work Product

Ownership of work product created under a service agreement will be specified in that agreement. Unless otherwise stated, you will own the final deliverables upon full payment, while we retain the right to use general methodologies and knowledge gained.

Payment Terms

Payment terms for services will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is limited to a period of 90 days from delivery of services.

Disclaimer

Except as expressly stated above, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Delta Swift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code that may be transmitted through our services

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Delta Swift and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services or violation of these Terms.

Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Winnipeg, Manitoba, except that either party may seek injunctive relief in court for intellectual property matters.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the Last Updated date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Delta Swift regarding our services and supersede all prior agreements and understandings.
